Website Development Terms & Conditions
Please read these terms carefully before beginning a website development project or making a payment.
Project Timelines
Estimated delivery timelines for various types of websites:
- Business / Informative Website: 7 Days
- E-Commerce Website: 15–20 Days
- Functional / Custom Website: 15–20 Days
Note: Timely client responses, content submissions, and approvals are essential. If the project is delayed due to client-side reasons or if the client stops the project midway and wishes to resume later, the remaining 50% balance must be cleared before resuming. This ensures project scheduling and resource allocation, as we may already be handling other projects. In such cases, 100% payment will be required before resuming the work.
Payment Terms
- 50% Advance Payment – as said during meeting
- 50% Final Payment – due before domain connection and project handover
The final payment must be completed prior to delivery. No files, access, or credentials will be shared until full payment is received.
Important: Any kind of advance or partial payment made (including the 50% advance) is non-refundable.
Milestone-Based Payment Compliance
If the client opts for the 25% – 25% – 50% payment structure agreed during the project discussion, the following payment milestones shall be strictly followed:
- 25% Advance Payment – payable before project initiation.
- 25% Second Installment – payable once the local development link is shared and substantial progress has been completed on the project.
- 50% Final Payment – payable upon project completion and before domain connection, deployment, handover, or transfer of any credentials.
Failure to clear any payment milestone within the agreed timeframe may result in an immediate suspension of work. The project will remain on hold until all pending dues are cleared.
Digital Aayush reserves the right to pause development, testing, deployment, communication, and support activities until payment compliance is restored.
Any delay caused by non-payment may impact the originally committed delivery timeline, for which Digital Aayush shall not be held responsible.
Product Listing Scope & Additional Charges
For E-Commerce Website projects, the product listing scope shall be finalized in consultation with the client before project commencement.
The standard development package includes up to 50 product listings only.
If the client requires additional product uploads beyond the included limit:
- A charge of ₹20 per additional product listing shall apply.
- Product listing includes uploading product details, images, pricing, and relevant information provided by the client.
- Additional product listing charges must be approved and paid before execution.
Digital Aayush shall not be responsible for uploading products beyond the agreed scope unless the applicable additional charges have been cleared.
Content & Product Data Submission
The client must provide all product information, images, pricing, descriptions, categories, and related content in a structured format.
Any delay in providing product data, content, or approvals will automatically extend the project timeline. Digital Aayush shall not be held responsible for delivery delays caused by incomplete or late submissions from the client.
Project Ownership
During the development phase and until full payment is received, the website ownership remains with Digital Aayush.
Full ownership will be transferred only after:
- The final payment is made, and
- The project is fully completed.
Commitment to Delivery
We deliver exactly what has been promised and discussed — nothing more, nothing less. This ensures focused quality, clarity, and transparency.
Developer Credit
A standard developer credit line – “Developed by Digital Aayush” – will be displayed in the website footer as part of our portfolio and branding policy.
If the client wishes to remove this credit, a one-time royalty fee of ₹7,000 will be applicable.
The removal will only be executed after full payment of this fee.
No Discounts After Project Start
Once the project begins and terms are agreed, no further discounts or price revisions will be applicable. The quoted amount remains fixed and final.
Non-Refundable Payment Policy
If the client discontinues the project for any reason, the amount already paid is strictly non-refundable, irrespective of the project stage or progress.
(This clause includes the 50% advance or any kind of payment made to us.)
Design Finalization & Custom Development Policy
The design, layout structure, and UI direction will be created and finalized by our team in consultation with the client.
Once the design is approved and development has started, major design changes or complete redesign requests will not be accepted.
If the client still insists on redesigning the structure or UI during the development phase:
- It will be treated as a new requirement, and
- Additional charges will apply based on the scope of rework.
This policy ensures timely delivery and efficient resource allocation.
If a reference website is shared by the client:
- The reference is considered for inspiration purposes only.
- Exact copying or 100% replication of any third-party website is neither possible nor legally permissible.
- Replicating another website’s design, structure, content, or functionality may lead to copyright infringement claims, for which Digital Aayush will not be responsible.
- We strictly avoid duplicating any website to protect both our company and the client from potential legal consequences.
Any additional change requests beyond the approved scope will be treated as a new requirement and charged separately.
Client-Side Technical Issues
Digital Aayush will not be responsible for issues caused by client-side configurations, such as:
- Payment gateway or account verification failures
- Delivery partner integration problems
- Domain or hosting access issues
- Any other third-party or client-end errors
Such issues are solely the client’s responsibility.
Theme-Related Future Issues
We are not responsible for any technical or compatibility issues that may arise in the theme in the future. Themes are built using third-party frameworks, and updates or changes in those systems are beyond our control.
Domain, Hosting & SSL Policy
Domain, hosting, and SSL will be provided free of cost for the first year only (as per package).
From the second year onward, all renewal charges must be paid by the client as per the service provider’s pricing.
Important Conditions:
If the client chooses to shift the website to another hosting provider:
- The entire migration process will be the client’s responsibility.
- Digital Aayush will not be responsible for any issues arising post-migration (performance, downtime, security, etc.).
- We do not handle migration processes by default.
- If the client requires our assistance for migration, it will be chargeable separately.
Phase-Wise Confirmation
The project progresses in defined phases. Once a phase is completed and approved, it is considered final. Any post-approval modifications will be chargeable separately.
Asset & Content Responsibility
Clients must provide all required assets and information, including:
- Logos, images, brand content, and other creative materials
- Legal documents such as Terms & Conditions, Privacy Policy, Refund Policy, etc.
These are the client’s responsibility, not drafted by our team.
Project Hold & Pricing Revision Policy
If the client discontinues or pauses the project midway and requests to resume after a gap (weeks/months):
- The project will be resumed based on current pricing, not the originally quoted amount.
- Any increase in pricing structure during the paused period will be applicable.
- Work will only resume after clearing pending dues + revised cost (if applicable).
Post-Deployment Changes Policy
Once the website is completed, approved, and made live:
- Any further changes, modifications, or updates requested by the client will be treated as additional work.
- Such requests will be chargeable based on the scope and complexity.
- This includes design, content, functionality, or technical changes.
Design Assets
Digital Aayush does not provide banners, posters, product creatives, or additional graphic materials unless explicitly agreed in writing before project initiation.
Clients are required to provide:
- Logos
- Product images
- Brand creatives
- Written content
- Legal documents
Exception: For E-Commerce websites only, basic homepage promotional banners will be provided as part of the development package. Any additional creative design requirements beyond this will be chargeable separately.
Automatic Acceptance of Terms
Once this Terms & Conditions document is shared in the official project communication group (WhatsApp / Email / Project Channel), all clauses mentioned herein shall be considered legally applicable and binding.
This applicability remains valid:
- Irrespective of whether the client has read the document or not.
- Irrespective of acknowledgment, response, or silence from the client’s side.
- Failure to read the document does not exempt the client from compliance with these terms.
This clause is implemented to prevent future misunderstandings, misinterpretations, false allegations, or unnecessary disputes.
Client-Induced Modifications and Liability
Any modifications, alterations, or updates made to the website by the client or any third party after project delivery—including but not limited to changes via code, plugins, AI tools, or other software—shall be undertaken at the client’s own risk. In the event that such changes result in website malfunction, errors, or complete failure, we shall not be held responsible. Any restoration, redevelopment, or troubleshooting required due to such actions will be chargeable as per our standard service rates.
Post-Delivery Revisions Policy
Upon successful completion and handover of the project, we allow minor revisions, which may include up to 3–4 image replacements or 1–2 content modifications. Any requests exceeding this scope or involving structural, design, or functional changes will be considered additional work and will be billed accordingly.
Admin Panel Access
Administrative access (admin panel) will be provided only for e-commerce websites where such functionality is applicable. Static websites, being code-based, do not include an admin panel. For any updates or modifications in such cases, the client must either coordinate with the developer or possess the necessary technical expertise to make changes independently.
Communication and Documentation Protocol
For transparency and record-keeping purposes, all project-related communication, approvals, and instructions must be documented within the designated WhatsApp group created for the project. Any discussions or decisions made outside the group (e.g., via phone calls or personal messages) must be formally confirmed within the group by the client. We shall not be held liable for any misunderstandings or discrepancies arising from undocumented communication.
Some important points:
- Domain and hosting are either client-provided or separately chargeable.
- We are not responsible for downtime caused by hosting provider.
- Project timelines depend on timely content, approvals, and feedback from the client.
- Any delay from the client side will extend the delivery timeline.
- Client is responsible for providing correct content (text, images, legal info).
- We are not liable for copyright issues, false claims, or legal violations in content.
- Website may use third-party themes, plugins, or APIs.
- We are not responsible for future issues, updates, or discontinuation of those tools.
- Support duration after delivery (30 days).
- Ongoing maintenance is chargeable.
- After handover, client is responsible for maintaining backups (unless under maintenance plan).
- No guaranteed rankings or traffic unless explicitly part of a marketing contract.
- Full ownership is transferred only after full payment.
- We may showcase the project in your portfolio.
- We are not responsible for hacking, malware, or security breaches after delivery.
All additional charges will be communicated and approved before execution.
Legal Threats & Misuse of Legal Intimidation
Digital Aayush operates with full transparency and documented communication records.
Any form of:
- False legal threats
- Baseless allegations
- Intimidation through misuse of legal terminology
- Defamation attempts
- Payment avoidance using legal pressure
will not be considered valid grounds for dispute.
If a client issues false legal threats, or attempts to harass or intimidate the company despite agreed terms and documented proof, Digital Aayush reserves the full right to:
- Initiate appropriate legal counteraction,
- Claim damages for defamation or business harm,
- Terminate the project immediately without refund.
Clients are advised to resolve concerns through professional communication rather than intimidation.
All agreements remain governed by documented proof shared during the project lifecycle.
Governing Jurisdiction: All disputes shall be subject to the jurisdiction of courts located in Ahmedabad, Gujarat.
